Terms of Service

The short version: Don't be a jerk, don't do anything illegal, and we'll all get along fine.

1. Agreement to Terms

By using ROAS Reports, you agree to these terms. If you don't agree, don't use the service. We reserve the right to update these terms, but we'll let you know if we make material changes.

ELI5: These are the rules. By clicking "Sign Up," you're saying you'll follow them. We can change the rules, but we'll tell you first.

2. Your Account

You're responsible for your account and everything that happens under it. Keep your login secure. Don't share your password. Don't let other people use your account. This is pretty standard stuff.

Age Requirement: You must be at least 18 years old to use ROAS Reports.

Account Security: Enable two-factor authentication if available. Use a strong password. Don't reuse passwords from other sites.

ELI5: Your account, your responsibility. If someone hacks you because your password was "password123," that's on you.

3. Acceptable Use

Don't:

  • ❌ Use the service for anything illegal or fraudulent
  • ❌ Try to hack, break, or reverse engineer our systems
  • ❌ Scrape data or abuse our APIs (we have rate limits for a reason)
  • ❌ Impersonate other users or organizations
  • ❌ Upload malware, viruses, or malicious code
  • ❌ Harass, abuse, or threaten other users or our team
  • ❌ Violate anyone's intellectual property rights
  • ❌ Do anything that would make reasonable people say "what were they thinking?"

ELI5: Use the service to view your advertising data and make better marketing decisions. Don't be a criminal or a jerk.

4. Your Data

You own your data. We're just storing and processing it for you. You can export it anytime. You can delete it anytime. We're not claiming any ownership of your advertising data or reports.

License to Operate: By using the service, you grant us permission to process your data as necessary to provide the service (store it, display it in dashboards, generate reports, etc.). This license ends when you delete your account.

Your Responsibility: You're responsible for the accuracy of data you provide and ensuring you have the right to connect advertising accounts to ROAS Reports.

ELI5: Your ad data is yours. We're like a storage locker + calculator. You let us hold your stuff and do math on it, but it's still your stuff.

5. Our Rights & Service Changes

We can suspend or terminate accounts that violate these terms. We can update the service, add features, remove features, and generally run the business as we see fit.

Service Modifications: We may add, change, or remove features. If we remove a major feature you rely on, we'll give you at least 30 days notice.

Suspension/Termination: We can suspend your account if you violate these terms or use the service in ways that harm us or other users. We'll try to contact you first, but if you're actively attacking our systems, we'll just cut you off.

ELI5: We'll try not to make changes that screw you over, but we can't promise the service will work exactly the same forever. If you're abusing the service, we'll kick you out.

6. Payment Terms

Current Status: We're in private beta. The service is currently free while we build and test features.

Future Pricing: When we start charging for the service (which we will eventually), you'll be notified at least 30 days in advance. You can choose to continue using the service and pay, or cancel before charges begin. No surprises.

Billing: When pricing launches, subscriptions will be billed monthly or annually (your choice). Payment is due at the beginning of each billing period. We'll charge your payment method on file.

Failed Payments: If your payment fails, we'll try to contact you. After 7 days of failed payments, we may suspend your account until payment is received.

Refunds: We'll handle refunds on a case-by-case basis. If you're unhappy with the service, just ask. We're reasonable people.

ELI5: It's free now. When it's not free anymore, we'll tell you with plenty of time to decide if you want to keep using it.

7. Cancellation

You can cancel your account anytime. We're not going to make you jump through hoops or talk to a retention specialist. Just cancel in your settings and you're done.

What Happens: When you cancel, you'll retain access until the end of your current billing period (if applicable). After that, your data will be deleted within 30 days per our Privacy Policy.

Export Your Data: Before canceling, make sure to export any data you want to keep. After 30 days, it's gone forever.

ELI5: Want to leave? Leave. No BS. Export your data first though, because we're not keeping it forever.

8. Disclaimers & Limitations of Liability

⚠️ Legal Stuff (required by law):

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

ELI5: We do our best to keep things running smoothly, but stuff happens. The law requires us to say we don't guarantee the service will be perfect, always available, or bug-free.

Limitation of Liability: To the maximum extent permitted by law, we're not liable for indirect, incidental, consequential, or punitive damages (lost profits, lost data, business interruption, etc.).

Maximum Liability: Our total liability to you for any claims related to the service is limited to the amount you paid us in the 12 months before the claim (or $100 if you haven't paid us anything).

ELI5: If something goes wrong and it's our fault, we'll try to make it right. But we can't be responsible for unlimited damages. If we could go bankrupt from one bug, we'd never build anything.

9. Indemnification

You agree to defend, indemnify, and hold us harmless from any claims, damages, or expenses (including reasonable attorney fees) arising from your use of the service, your violation of these terms, or your violation of any rights of another party.

ELI5: If you do something wrong and someone sues us because of it, you're responsible. For example, if you upload copyrighted material and the owner sues us, that's on you.

10. Third-Party Services

ROAS Reports integrates with third-party advertising platforms (Google Ads, Meta, etc.). Your use of those platforms is subject to their own terms of service. We're not responsible for their platforms, APIs, or any changes they make.

API Changes: If Google or Meta changes their API and breaks our integration, we'll fix it as fast as we can, but we can't be held liable for downtime caused by third parties.

ELI5: We connect to Google Ads, Meta, etc. If they break their API or change their terms, that's not our fault. We'll fix it ASAP, but we're not responsible for their stuff.

11. Intellectual Property

Our IP: ROAS Reports, our logo, design, code, and content are owned by us (Mixed Strategy LLC) and protected by copyright, trademark, and other intellectual property laws.

Your IP: You retain all rights to your data and content. We don't claim ownership of your advertising data, reports, or any content you create.

Feedback: If you provide feedback or suggestions, we can use them to improve the service without compensating you. (But we appreciate the feedback!)

ELI5: Our stuff is ours, your stuff is yours. If you tell us "it would be cool if you added feature X," we can build it without owing you royalties.

12. Dispute Resolution

Informal Resolution: If you have a problem with the service, please contact us at support@roasreports.com. We'll try to resolve it informally first.

Governing Law: These terms are governed by the laws of the State of Wyoming, United States, without regard to conflict of law principles.

Venue: Any disputes will be resolved in the state or federal courts located in Sheridan County, Wyoming.

No Class Actions: You agree to resolve disputes individually, not as part of a class action or representative proceeding.

ELI5: If we have a disagreement, let's talk it out first. If that doesn't work, we'll follow Wyoming law and use courts in Sheridan County. No class action lawsuits.

13. Privacy

Your privacy is important to us. Please review our Privacy Policy to understand how we collect, use, and protect your data.

14. Changes to These Terms

We may update these terms from time to time. If we make material changes, we'll notify you via email at least 30 days before the changes take effect.

Continued Use: By continuing to use the service after changes take effect, you agree to the updated terms. If you don't agree, you can cancel your account.

ELI5: If we change the rules, we'll tell you a month in advance. If you keep using the service, you're agreeing to the new rules. Don't like them? Cancel before they kick in.

15. Entire Agreement & Severability

These terms, along with our Privacy Policy and any other policies referenced, constitute the entire agreement between you and ROAS Reports.

Severability: If any part of these terms is found to be invalid or unenforceable, the rest of the terms remain in effect.

ELI5: This document (plus our Privacy Policy) is the whole agreement. If a court says one part is invalid, the rest still applies.

Before public launch, we'll have these reviewed by an actual attorney who specializes in SaaS law. The spirit of these terms won't change though: be reasonable, and we'll be reasonable right back.
